Associate Student Program Terms and Conditions

1. Introduction

1.1. The CRC for Developing Northern Australia Limited A.C.N. 618 131 150 (“CRCNA”) Associate Student Program (“the Program”) provides postgraduate students with a chance to be involved and affiliated with CRCNA research programs and activities, access to funding (via a separate competitive application process) and professional development, without needing to be directly attached to a project funded by CRCNA.

Students participating in the Program (“Associate Students”) are distinct from members of the CRCNA and are not deemed to be “Members” for the purpose of CRCNA’s Constitution.

1.2. This document outlines the Terms and Conditions of the Program. Upon making an application for the Program, an applicant is deemed to have read these Terms and Conditions and agreed to comply with such Terms and Conditions whilst an applicant is a CRCNA Associate Student.

1.3. All students who are accepted by CRCNA into the Program will be granted the title of “CRCNA Associate Student”. All students who are applying to CRCNA for the Program will be referred to as “Applicants” in these Terms and Conditions.

2. Eligibility Criteria

2.1. The Program is open to Applicants who are:

     2.1.1. subject to clause 2.2, enrolled in a postgraduate research degree at an Australian university

     2.1.2. studying internally or externally

     2.1.3. domestic or international student and

     2.1.4. able to demonstrate how their studies and research aligns with CRCNA research priorities.

2.2. Postgraduate coursework degree Applicants are eligible to apply provided they can demonstrate to CRCNA’s satisfaction (in CRCNA’s absolute discretion) that there is a reasonable research component or project included in their studies.

3. Application Process

3.1. Applications for the Program must be made in writing and in the form prescribed by CRCNA from time to time. The current version of the online form for applications is the CRCNA Associate Student Application Form.

3.2. All applications must include the details of the Applicant’s supervisor. The Applicant consents to CRCNA using the information contained in their application to verify the eligibility of the Applicant to join the Program, without limitation, consenting to CRCNA contacting the relevant university and/or the Applicant’s supervisor to verify the accuracy of the Applicant’s application.

3.3. CRCNA has sole discretion in deciding whether to accept or reject an Applicant’s application for the Program.

3.4. If an Applicant is not satisfied with the outcome of their application, they may make a written application to the CRCNA’s chief executive officer within seven (7) days of being notified of their non-acceptance to the Program. The decision of the CRCNA’s chief executive officer is final.

3.5. CRCNA must notify an Applicant within thirty (30) days of receiving an application in the appropriate form of whether the Applicant’s application is approved.

4. Award of Associate Student Status

4.1. CRCNA Associate Students will be advised in writing upon a successful application.

4.2. CRCNA Associate Students authorise the CRCNA to announce their acceptance into the Program:

     4.2.1. on CRCNA’s website

     4.2.2. in CRCNA’s marketing materials and

     4.2.3. in any other external communications involving the CRCNA.

5. Termination

5.1. CRCNA may in its sole discretion terminate:

     5.1.1. the Program

     5.1.2. the CRCNA Associate Student’s endorsement as an Associate Student,

without compensation and at any time with or without notice.

6. CRCNA Associate Student’s Obligations

6.1. CRCNA Associate Students must:

     6.1.1. notify CRCNA of all journal articles, conferences, accepted oral and poster presentations (“the Works”) that the CRCNA Associate Student authors or co-authors within thirty (30) days of notification of acceptance into the Program

     6.1.2. provide a copy of the Works to CRCNA

     6.1.3. not act or be seen to act in conflict with the CRCNA's best interests – the determination of whether the CRCNA Associate Student is acting or seen to be acting in conflict with CRCNA’s best interest is at the sole discretion of the CRCNA

     6.1.4. use their best endeavours to protect and promote the CRCNA

     6.1.5. not participate in any form of harassment or bullying of other CRCNA Associate Students or CRCNA staff – any such actions will result in the termination of the offending CRCNA Associate Student from the Program

     6.1.6. diligently and to the best of their abilities apply themselves to the completion of their postgraduate studies and

     6.1.7. keep their contact details up to date at all times and advise CRCNA of the same by emailing epc@crcna.com.au.

7. Promotion

7.1. CRCNA Associate Students must actively participate in events and activities relating to the marketing and promotion of the Program as required by the CRCNA from time to time.

7.2. Without limiting clause 7.1, details of the CRCNA Associate Student, including but not limited to their name, biography, institution, degree, and photographs (referred to in this clause as “the details”) may be used by CRCNA and its partners for promotional and marketing purposes as determined appropriate from time to time in CRCNA’s sole discretion, including but not limited to CRCNA’s website, social media channels, print and electronic media. CRCNA Associate Students must provide the details to CRCNA as and when requested and hereby expressly consent to CRCNA using the details for promotional and marketing purposes.

7.3. CRCNA Associate Student hereby waive any right to inspect or approve CRCNA’s marketing and promotional materials featuring them.

7.4. Whilst a CRCNA Associate Student is a member of the Program, they may with the CRCNA’s prior written permission advertise their status as an CRCNA Associate Student subject to these Terms and Conditions.

7.5. CRCNA must approve the use of CRCNA Associate Student status by a CRCNA Associate Student or their institution in any proposed promotions or external communications. The CRCNA Associate Student must provide a copy of the proposed promotion or external communications at least three (3) business days before the proposed publication for CRCNA’s approval. CRCNA may approve or deny the proposed publication in CRCNA’s absolute discretion.

8. Release and Indemnity

8.1. The CRCNA Associate Student hereby releases and discharges to the full extent permitted by law the CRCNA and its agents, servants, contractors, employees and fellow CRCNA Associate Students (in this clause referred to as “those released”) from:

     8.1.1. all claims, actions, demands and proceedings which it may have, or claim to have, or but for this release might have had, against those released arising out of the Program or otherwise from CRCNA’s actions or omissions and

     8.1.2. all liability of CRCNA arising out of the Program or the Program’s activities.

8.2. The CRCNA Associate Student hereby indemnifies, continues to indemnify, hold harmless and defend to the full extent permitted by law, CRCNA and its agents, servants, contractors, employees and fellow CRCNA Associate Students (in this clause referred to as “those indemnified”) against any losses suffered or incurred by CRCNA or those indemnified arising from an act or omission of the CRCNC Associate Student.

8.3. In this clause 8, “losses” means liabilities, expenses, losses, damages and costs (including but not limited to legal costs on a full indemnity basis, whether incurred by or awarded against a party).

9. General Terms

9.1. Except where these Terms and Conditions expressly state otherwise, CRCNA may in its discretion give conditionally or unconditionally or withhold any approval or consent in CRCNA's sole and unfettered discretion.

9.2. The Program does not create a relationship of:

     9.2.1. membership for the purpose of CRCNA’s constitution or

     9.2.2. employment, agency or partnership,

between the CRCNA and the CRCNA Associate Students (“the Parties”) and the Parties must not represent themselves, and must ensure that their officers, employees, agents and subcontractors do not represent themselves, as being an officer, employee, partner or agent of the other Party, or as otherwise able to bind or represent the other Party.

9.3. These Terms and Conditions record the Parties’ entire agreement, in respect of the matters dealt with in these Terms and Conditions and supersedes all earlier agreements and representations that may have been made by CRCNA about the Program.

9.4. The CRCNA Associate Students acknowledges that, notwithstanding any other provision of these Terms and Conditions, the Commonwealth of Australia may disclose information about these Terms and Conditions and the Program, including personal information, required to be reported by the Commonwealth of Australia or any department.

9.5. The CRCNA Associate Students must not assign or novate the benefit of the Program in whole or in part to any other party without CRCNA’s prior written consent which it may provide in its absolute discretion.

9.6. A waiver of any provision of or right under this Agreement must be in writing signed by the party entitled to the benefit of that provision or right and is effective only to the extent set out in any written waiver.

9.7. If a term or part of a term of these Terms and Conditions is illegal or unenforceable, it may be severed from these Terms and Conditions and the remaining terms or parts of the terms of this Terms and Conditions continue in force.

9.8. These Terms and Conditions are governed by the law applicable to the State of Queensland and the parties submit to the jurisdiction of the courts of the State of Queensland.

9.9. The CRCNA Associate Students must pay all taxes, duties and government charges imposed or levied in Australia or overseas in connection with the performance of its obligations under these Terms and Conditions.

9.10. CRCNA may set-off any money due for payment to the CRCNA Associate Students under the Program or these Terms and Conditions against any money due for payment by the CRCNA Associate Students to the CRCNA.

9.11. No agreement or understanding varying these Terms and Conditions is legally binding upon CRCNA unless the agreement or understanding is in writing and signed by CRCNA.

10. No Warranties

10.1. CRCNA provides no warranties in relation to the regularity, timing, duration or contents of the Program including but not limited in relation to any networking opportunities, professional development opportunities or eligibility to travel support.

11. Privacy

11.1. The CRCNA’s privacy policy applies to the Program and the Applicant’s Application.
